Partner Terms & Conditions
These Partner Terms & Conditions (“Terms”) govern participation in the Axis Building Advisory professional referral network (“Partner Network”).
By joining the Partner Network, paying the Setup Fee, providing payment details, accepting a Referral or otherwise participating in the Partner Network, the Partner agrees to be bound by these Terms.
1. Axis Partner Network
Axis Building Advisory (“Axis”, “we”, “us” or “our”) provides advisory services to members of the public in relation to building, construction, renovation, fitout and property-related matters.
From time to time, Axis may identify that a client could benefit from the services of a building, construction or property professional.
The Partner Network enables Axis to introduce those clients to selected independent professionals and service providers (“Partners”).
2. Appointment and Category
Axis may appoint the Partner as its nominated referral partner for an agreed profession or service category (“Category”).
Unless otherwise agreed in writing, Axis intends to appoint one Partner per Category within the applicable service area.
Any exclusive appointment is subject to these Terms and does not require Axis to provide any particular Referral or guarantee any minimum number, frequency or value of Referrals.
Axis retains discretion to determine whether a Referral is appropriate and whether a particular enquiry falls within the Partner's Category.
3. Eligible Referrals
An “Eligible Referral” means a genuine client introduction made by Axis where, based on the information reasonably available to Axis at the time of the Referral, the client has or may reasonably require services falling within the Partner's agreed Category.
A Referral may include relevant client contact details and information regarding the client's enquiry or project.
Each Eligible Referral constitutes an introduction or business opportunity only.
Axis does not guarantee that a referred client will:
contact or respond to the Partner;
request or accept a quotation;
engage the Partner;
proceed with their project;
pay the Partner; or
generate any particular amount of revenue.
The Partner is responsible for assessing each Referral and determining whether it wishes to provide services to the client.
4. Setup Fee
A one-off Setup Fee of $50 [plus GST, if applicable] is payable when the Partner joins the Partner Network.
The Setup Fee relates to the establishment and administration of the Partner's account and payment arrangements and is separate from Referral Fees.
Unless otherwise required by law, the Setup Fee is non-refundable once the Partner's account has been established.
Payment of the Setup Fee does not guarantee any minimum number or frequency of Referrals.
5. Referral Fees
The Partner must pay Axis a Referral Fee for each Eligible Referral provided to the Partner.
The initial Referral Fee applicable to the Partner will be agreed between Axis and the Partner and confirmed in writing.
Unless otherwise agreed, the initial Referral Fee is:
$100 per Eligible Referral [plus GST, if applicable].
The Referral Fee becomes payable when Axis provides an Eligible Referral to the Partner.
The Referral Fee is payable for the introduction itself and is not conditional upon the Partner successfully contacting, quoting for, contracting with, performing work for or receiving payment from the referred client.
6. Weekly Billing
Referral Fees are calculated based on the number of Eligible Referrals provided to the Partner during each applicable weekly billing period.
At the end of each weekly billing period, Axis may automatically charge the Partner's nominated payment method for the total Referral Fees incurred during that period.
Accordingly, the amount charged may vary from week to week depending on:
the number of Eligible Referrals provided during the billing period; and
the Referral Fee applicable to the Partner at that time.
Where no Eligible Referrals are provided during a billing period, no Referral Fees will be charged for that period.
Axis may provide the Partner with an invoice, receipt, statement or other record showing the Referral Fees charged.
7. Authority to Store Payment Method and Process Charges
As a condition of participation in the Partner Network, the Partner must maintain a valid nominated payment method with Axis's payment provider.
By joining the Partner Network and providing its payment details, the Partner authorises Axis and its payment provider to securely store the Partner's nominated payment method and automatically process:
the initial Setup Fee; and
subsequent variable weekly Referral Fee charges incurred in accordance with these Terms.
The Partner acknowledges that weekly charges are not necessarily a fixed amount and will depend upon the number of Eligible Referrals provided and the applicable Referral Fee.
The Partner must ensure that its nominated payment method remains valid and has sufficient funds or credit available to meet amounts properly payable under these Terms.
8. Failed Payments
If an automatic payment is declined, reversed, disputed or otherwise unsuccessful, Axis may immediately suspend further Referrals to the Partner.
Axis may attempt to process the outstanding payment again using the Partner's nominated payment method or request payment by another method.
Any outstanding Referral Fees remain payable notwithstanding suspension or termination of the Partner's appointment.
Where an outstanding amount remains unpaid, Axis may terminate the Partner's appointment and appoint another Partner to the relevant Category.
9. Changes to Referral Fees and Pricing
Axis may change the Referral Fee applicable to the Partner or otherwise change the pricing structure of the Partner Network at any time by providing the Partner with written notice.
Unless otherwise specified in the notice, a pricing change will take effect 14 days after written notice is provided.
The revised Referral Fee will apply only to Eligible Referrals provided on or after the effective date of the change.
If the Partner does not wish to continue under the revised pricing, the Partner may terminate its participation in the Partner Network before the revised pricing takes effect.
Eligible Referrals provided before the effective date will remain subject to the Referral Fee applicable when those Referrals were provided.
10. Exclusive Partner Status
Where Axis appoints the Partner as the exclusive Partner for a Category, Axis will not ordinarily appoint another Partner to the same Category within the agreed service area while the appointment remains active.
Exclusive Partner status does not:
guarantee any minimum number or frequency of Referrals;
require Axis to refer every potentially relevant client to the Partner;
prevent Axis from determining that a particular Referral is unsuitable;
prevent a client from selecting or engaging another provider;
prevent Axis from responding to a client's request for another provider;
require Axis to make a Referral where doing so would be inappropriate or impractical; or
prevent Axis from making alternative arrangements where the Partner is unavailable, unresponsive or unable to appropriately assist the client.
Exclusive status is conditional upon the Partner remaining in good standing, maintaining a valid payment method, paying Referral Fees when due, complying with these Terms and continuing to meet Axis's reasonable expectations regarding service and responsiveness.
11. Referral Disputes
If the Partner reasonably believes that a Referral does not constitute an Eligible Referral, the Partner must notify Axis in writing within five (5) business days of receiving the Referral and provide reasonable details explaining the basis of the dispute.
Axis will reasonably review the circumstances.
A Referral will not cease to constitute an Eligible Referral merely because the client:
does not respond to the Partner;
decides not to proceed;
changes the scope of the project;
obtains competing quotations;
appoints another professional;
rejects the Partner's quotation; or
does not ultimately generate paid work for the Partner.
Where Axis determines that a Referral was incorrectly allocated to the Partner's Category or otherwise did not constitute an Eligible Referral, the applicable Referral Fee will not be charged or, if already charged, Axis may provide an appropriate refund or credit.
12. Partner Responsibilities
The Partner operates as an independent professional or business and is solely responsible for the services it provides.
The Partner must:
maintain all registrations, licences, qualifications and insurances required for its services;
comply with applicable laws, regulations, professional standards and codes of conduct;
deal with referred clients professionally and in good faith;
make reasonable efforts to respond to Referrals promptly;
maintain accurate contact and payment information with Axis; and
notify Axis of circumstances materially affecting its ability to service Referrals.
Axis may review, suspend or terminate a Partner's appointment if Axis reasonably considers that the Partner's conduct, responsiveness, professional standing or service is inconsistent with the standards expected of the Partner Network.
13. Relationship With Referred Clients
Any engagement resulting from a Referral is entered into directly between the Partner and the client.
The Partner is solely responsible for determining:
whether to accept the client;
the scope of services;
its fees and payment arrangements;
its professional obligations;
any contract with the client; and
whether the Partner's services are appropriate for the client's requirements.
Axis is not a party to any agreement subsequently entered into between the Partner and the client.
Axis is not responsible for the Partner's advice, services, representations, fees, workmanship, acts, omissions or contractual obligations.
14. Client Information and Privacy
Axis may provide the Partner with personal information and project information relating to a referred client in accordance with Axis's applicable privacy arrangements and any consent or authority obtained from the client.
The Partner must use information received through a Referral only for purposes reasonably connected with responding to the Referral and providing or offering the relevant services.
The Partner must handle client information responsibly and in accordance with applicable privacy, confidentiality and other legal obligations.
The Partner must not sell, distribute or use referred client information for unrelated purposes.

15. Independent Businesses
Axis and the Partner are independent businesses.
Nothing in these Terms creates an employment relationship, legal partnership, joint venture, franchise or agency relationship between Axis and the Partner.
The Partner has no authority to enter into agreements, make representations or incur liabilities on behalf of Axis.
The Partner must not represent that it is employed by, owned by or otherwise part of Axis Building Advisory.
16. No Guarantee of Referral Volume
Axis does not guarantee any minimum number, frequency, type, value or timing of Referrals.
Referral volumes may fluctuate substantially and there may be periods during which no Referrals are provided.
The Partner acknowledges that participation in the Partner Network does not guarantee revenue, work, projects or any particular commercial outcome.
17. Cancellation by the Partner
The Partner may cancel its participation in the Partner Network at any time by providing written notice to Axis.
Unless otherwise agreed, cancellation will take effect when processed by Axis or on any later date specified in the Partner's notice.
No Referral Fees will be incurred for Referrals provided after cancellation takes effect.
The Partner remains responsible for:
Referral Fees relating to Eligible Referrals provided before cancellation took effect; and
any other amounts properly incurred under these Terms before cancellation.
Axis may process any outstanding authorised Referral Fees using the Partner's nominated payment method following cancellation.
Once all outstanding amounts have been paid, no further recurring Referral Fee charges will be made.
18. Suspension or Termination by Axis
Axis may suspend or terminate the Partner's appointment by providing written notice.
Axis may suspend or terminate the arrangement immediately where the Partner:
fails to make a required payment;
experiences repeated failed or reversed payments;
materially breaches these Terms;
no longer holds required licences, registrations or insurance;
repeatedly fails to appropriately respond to Referrals;
misuses client information;
engages in conduct reasonably capable of damaging Axis's reputation or client relationships; or
otherwise ceases to meet Axis's reasonable requirements for participation in the Partner Network.
Upon termination, Axis may appoint another Partner to the relevant Category.
Termination does not affect Referral Fees or other amounts incurred before termination.
19. Changes to These Terms
Axis may amend these Terms from time to time by providing written notice to the Partner.
Where an amendment materially affects the Partner's obligations, Axis will provide reasonable notice before the amendment takes effect.
If the Partner does not wish to continue under materially amended Terms, it may terminate its participation before the amendment takes effect.
Changes to Referral Fees are additionally governed by clause 9.
20. Limitation of Liability
To the maximum extent permitted by law, Axis does not guarantee the quality, accuracy, commercial value or outcome of any Referral.
Axis is not liable for loss arising solely from:
a client's failure to proceed;
a client's failure to engage or pay the Partner;
inaccurate or incomplete information supplied by a client;
the commercial outcome of a Referral;
a dispute between the Partner and a referred client; or
services subsequently provided by the Partner.
Nothing in these Terms excludes, restricts or modifies any guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified.
21. Notices
Notices under these Terms may be provided electronically, including by email to the most recent email address provided by the Partner.
This includes notices relating to:
changes to Referral Fees;
amendments to these Terms;
payment matters;
suspension or termination; and
other matters concerning the Partner's participation.
The Partner is responsible for ensuring its contact details remain current.
22. Governing Law
These Terms are governed by the laws of Victoria, Australia.
The parties submit to the jurisdiction of the courts and tribunals of Victoria and courts competent to hear appeals from them.
23. Acceptance
By joining the Partner Network, paying the Setup Fee, providing a payment method, accepting a Referral or otherwise indicating acceptance of these Terms, the Partner acknowledges that it has read, understood and agrees to be bound by these Terms.
